Terms and Conditions for Website Maintenance Service
These terms and conditions cover the provision of Website Maintenance Services by Lemon Crush Design. All clients are required to read and understand these conditions before purchasing/or providing instructions to commence work.
Definitions
– Provider: Means Lemon Crush Design
– Client: Means the customer receiving services
– Service: Means the website maintenance services as described in the care plan
Contract Formation
The Client’s approval for work to commence shall constitute a contractual agreement between the Client and Lemon Crush Design. Approval via online purchase for work to commence indicates acceptance of these terms and conditions.
Service Description and Inclusions
Lemon Crush Design agrees to provide the following maintenance services:
– WordPress core, theme, and plugin updates
– Daily website backups
– SSL certificate maintenance
– Security monitoring and malware scanning
– Performance optimization
– One free restore per year (additional restores charged at $75 + GST)
Payment Terms
1. Fees:
– Monthly fee: $185 + GST
– Annual subscription: $1,998 + GST (10% discount)
2. Payment Schedule:
– Monthly invoices are due on the 1st of each month
– Annual payments are due at the start of each annual term
– Payment is accepted by direct deposit in Australian Dollars (AUD) unless otherwise agreed
– Late payments may result in service suspension
– Lemon Crush Design will not conduct maintenance tasks until payment is received in full
Client Responsibilities
The Client agrees to:
1. Provide accurate and up-to-date contact information
2. Maintain control over website content
3. Comply with all applicable laws and regulations
4. Notify Lemon Crush Design of any issues within 7 days of service delivery
Data Storage and Backups
1. While Lemon Crush Design performs regular backups, Clients are encouraged to maintain their own backups
2. Lemon Crush Design is not responsible for data loss in the event of catastrophic failure
3. Backup copies will be retained for a minimum period of 1 year
Limitation of Liability
1. Lemon Crush Design shall not be responsible for:
– Financial or other loss caused by the failure or use of its software
– Problems arising from malicious software, spyware, viruses, or website hacking
– The Client’s content or business practices
– Any indirect, consequential, or incidental damages
2. Total liability is limited to the amount paid for services in the previous 12 months
Service Terms
1. Duration:
– Services are provided on a month-to-month basis
– Annual subscriptions are available at a 10% discount
– Both options automatically renew unless cancelled
2. Termination:
– Either party may terminate with 30 days written notice
– No refunds will be issued for prepaid services upon Client termination
– Lemon Crush Design may terminate immediately for terms violations
Intellectual Property
1. The Client retains all rights to their content
2. Lemon Crush Design retains rights to any tools or systems used to provide the Service
General Provisions
1. Confidentiality: Both parties agree to maintain confidentiality of non-public information
2. Force Majeure: Neither party shall be liable for failures due to circumstances beyond reasonable control
3. Governing Law: These terms are governed by the laws of Victoria, Australia
4. Modifications: Lemon Crush Design reserves the right to modify these terms with 30 days notice
5. Dispute Resolution: Disputes will be resolved through:
– Initial good-faith negotiation
– Mediation if necessary
– Litigation as a last resort
By engaging Lemon Crush Design’s services, the Client acknowledges reading, understanding, and agreeing to be bound by these terms and conditions.
